Terms and Conditions

These Terms and Conditions ("Terms") govern your use of the Verde Pilates member portal at portal.verdepilates.com (the "Portal") and your purchase of memberships, class packages, and classes from Verde Pilates ("we," "us," or "our"). By creating an account, purchasing, or booking through the Portal, you agree to these Terms. If you do not agree, do not use the Portal.

1. Eligibility and Accounts

You must be at least 18 years old to create an account. Accounts for minors must be created and managed by a parent or legal guardian, who accepts these Terms on the minor's behalf. You agree to provide accurate information, to keep your login credentials confidential, and to be responsible for all activity that occurs under your account. Notify us immediately of any unauthorized use.

2. Memberships and Class Packages

We offer recurring memberships and class packages that provide a set number of class credits. Unless stated otherwise at the time of purchase:

  • Class credits are tied to your account and are non-transferable.
  • Credits may expire at the end of the applicable billing or package period, and unused credits do not roll over unless we expressly allow it.
  • Membership benefits and credit allowances are described on the relevant purchase page and may change as set out in these Terms.

3. Billing, Subscriptions, and Renewals

Paid memberships are billed on a recurring basis (for example, monthly) to your chosen payment method until cancelled. By purchasing a recurring membership, you authorize us and our payment processor to charge the applicable fees, plus any taxes, on each renewal date. Prices are stated in U.S. dollars. We may change pricing on a going-forward basis with reasonable notice; changes do not affect the current paid period.

Payments are processed by Stripe. We do not store your full card number. You are responsible for keeping your payment information current. If a payment fails, we may retry the charge, suspend access, or cancel the membership.

4. Cancellation of Membership

You may cancel a recurring membership at any time through the Portal or by contacting us. Cancellation stops future renewals; it takes effect at the end of the current paid billing period. You will retain access and any remaining credits for that period unless stated otherwise, and we do not provide partial-period refunds except as described below or as required by law.

5. Class Booking, Cancellation, and No-Shows

Classes have limited capacity and must be booked in advance through the Portal. To cancel a booking and have your credit returned, you must cancel before the cancellation cutoff stated for that class. If you cancel late or do not attend ("no-show"), the class credit may be forfeited. We may mark missed classes as no-shows. We reserve the right to reschedule, substitute instructors for, or cancel classes; if we cancel a class, we will return the associated credit.

6. Refunds

Except where required by law or expressly offered by us, purchases of memberships, packages, and class credits are non-refundable. Where a refund is granted, it will be issued to the original payment method. Promotional or discounted purchases may be non-refundable.

7. Health Disclaimer and Assumption of Risk

Pilates and related physical activity involve inherent risks of injury. You represent that you are physically able to participate and that you have consulted a physician as appropriate. You agree to inform your instructor of any injuries, medical conditions, pregnancy, or limitations, and to exercise within your own ability. To the fullest extent permitted by law, you voluntarily assume all risks associated with participation and release Verde Pilates and its instructors and staff from liability for injuries arising from your participation, except to the extent caused by our gross negligence or willful misconduct. The Portal and our classes are not a substitute for professional medical advice.

8. Studio Conduct

You agree to follow studio rules, arrive on time, use equipment properly, and treat instructors, staff, and other members with respect. We may refuse service, cancel a booking, or suspend or terminate an account for disruptive, unsafe, or abusive behavior.

9. Acceptable Use of the Portal

You agree not to misuse the Portal, including by attempting to gain unauthorized access, interfering with its operation, sharing your account, or using it for any unlawful purpose. We may suspend or terminate access for violations of these Terms.

10. Intellectual Property

All content on the Portal, including text, logos, designs, and class materials, is owned by Verde Pilates or its licensors and is protected by applicable laws. You may use the Portal only for its intended purpose of managing your account and bookings. You may not copy, reproduce, or distribute our content without permission.

11. Termination

You may stop using the Portal at any time. We may suspend or terminate your account or access if you breach these Terms, fail to pay, or for legitimate business or legal reasons. On termination, your right to use the Portal ends; provisions that by their nature should survive (such as payment obligations, disclaimers, and limitations of liability) will survive.

12. Limitation of Liability

To the fullest extent permitted by law, Verde Pilates will not be liable for any indirect, incidental, special, or consequential damages arising from your use of the Portal or participation in classes. Our total liability for any claim relating to the Portal or our services will not exceed the amount you paid to us in the three (3) months before the event giving rise to the claim. Some jurisdictions do not allow certain limitations, so some of these limits may not apply to you.

13. Changes to These Terms

We may update these Terms from time to time. When we do, we will revise the "Last updated" date above and, where appropriate, notify you. Your continued use of the Portal after changes take effect means you accept the updated Terms.

14. Governing Law

These Terms are governed by the laws of the State of Texas, without regard to its conflict-of-laws rules. Any dispute will be subject to the exclusive jurisdiction of the state and federal courts located in Texas.
